TOKYO, Japan — Renesas Electronics Corporation (TSE: 6723), a premier supplier of advanced semiconductor solutions, today made the following changes concerning Members of the Board. The changes were approved at a meeting of the Board of Directors on February 19, 2019 and will become effective following the adoption of the resolutions at the 17th Ordinary General Shareholders’ Meeting to be held on March 20, 2019.
1. Outline of the Change in Members of the Board (As of March 29, 2018)
(1) Reason for the changes
With the conclusion of the 17th Ordinary General Meeting of Shareholders scheduled to be held on March 20, 2019, the terms of office of the present five Members of the Board will also expire. In accordance with these changes, which aim to further strengthen management supervisory functions and transparency, Renesas has decided to add two further outside directors, leading to a total of seven Board members in the future. Renesas also expects the appointment of the new Outside Directors to contribute to enhancing the Board of Directors by improving functions to monitor and check the company’s overall management in terms of promoting appointments of women.
